General provisions
These Terms govern the provision of engineering services by Kortelo Sp. z o.o. ("Kortelo", "we") to business clients ("Client", "you"). Accepting a Kortelo proposal or signing a statement of work constitutes acceptance of these Terms.

Definitions
Service Provider — Kortelo Sp. z o.o., based in Warsaw, Poland. Client — the legal entity engaging Kortelo for services. Service — the engineering, audit, pilot, or platform work described in the relevant statement of work.

Services offered
Kortelo provides three engagement types: (a) a free 30-minute Audit to scope problems and fit; (b) a Pilot project (typically 4–8 weeks, fixed-price, fixed-scope); and (c) Long-term platform work, billed under a separate subscription or retainer agreement.

Technical requirements
To use the Kortelo console and any delivered platform, the Client needs a modern browser (Chrome, Firefox, Edge, Safari — current and previous major versions) and a stable internet connection. Mobile browsers are supported for read-only and basic operations.

Engagement
An engagement begins after a free Audit, written acceptance of a proposal, and a signed statement of work. The SOW specifies scope, deliverables, milestones, payment schedule, and the responsible parties on each side.

Kortelo's obligations
Kortelo will deliver work to the agreed scope, communicate proactively about progress and blockers, treat Client data as confidential, and follow secure development practices. Source code and IP rights for delivered platforms transfer to the Client per the SOW.

Client's obligations
The Client provides timely access to subject-matter experts, agreed-upon production-like data or sandbox environments, and prompt feedback on milestones. Late or absent input may shift delivery dates accordingly.

Payments
Pricing is custom per engagement and stated in the SOW. Pilots are typically fixed-price with a 50% advance and 50% on delivery. Long-term work is billed monthly. Invoices are due within 14 days unless agreed otherwise. Polish VAT rules apply for domestic Clients.

Complaints
If a deliverable does not meet the agreed scope, the Client may file a written complaint to [email protected] within 30 days of delivery. We respond within 14 working days and either fix the issue at our cost or agree on a partial credit.

Liability
Kortelo's total liability under any engagement is capped at the total fees paid by the Client for that engagement. We do not accept liability for indirect or consequential damages, loss of profit, or loss of data, except where required by mandatory law.

Final provisions
These Terms are governed by Polish law. Disputes will first be addressed by good-faith negotiation; any remaining disputes fall under the jurisdiction of the courts competent for the registered office of Kortelo (Warsaw).
